These Terms and Conditions (“Terms”) govern the wholesale supply of products by Kamah P/L trading as Queen of Hearts (ABN 91 740 060 352) (“Queen of Hearts”, “we”, “us”) to approved wholesale stockists (“Stockist”, “you”). By placing an order with Queen of Hearts, you agree to be bound by these Terms.
2.1 Queen of Hearts operates on a B2B wholesale basis only. Products are supplied for retail resale purposes and are not available for personal use purchases through this channel.
2.2 We reserve the right to approve or decline any wholesale account application at our discretion.
2.3 You are responsible for ensuring all account information provided to us is accurate and up to date.
3.1 All orders placed with Queen of Hearts constitute an offer to purchase and are subject to acceptance by us.
3.2 We reserve the right to decline or cancel any order at our discretion, including where products are out of stock or pricing errors have occurred.
3.3 Once an order is confirmed, changes or cancellations must be requested in writing to hello@queenofhearts.com.au and are subject to approval.
3.4 Minimum order quantities may apply and will be communicated at the time of ordering.
4.1 All prices are listed in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.
4.2 GST will be applied to all orders in accordance with the A New Tax System (Goods and Services Tax) Act 1999.
4.3 Queen of Hearts reserves the right to amend pricing at any time. Updated pricing will be communicated to stockists prior to taking effect.
4.4 Freight and shipping costs are additional and will be confirmed at the time of order.
5.1 Payment is due within 7 days of delivery (Cash on Delivery terms).
5.2 Accepted payment methods will be communicated at the time of ordering.
5.3 Queen of Hearts reserves the right to charge interest on overdue invoices at a rate of 2% per month, calculated from the due date until payment is received in full.
5.4 Queen of Hearts reserves the right to suspend or cancel a stockist account where payment obligations are not met.
6.1 Queen of Hearts will make reasonable efforts to dispatch orders within the timeframe advised at the time of ordering. Delivery timeframes are estimates only and are not guaranteed.
6.2 Risk in the goods passes to the Stockist upon delivery.
6.3 Title in the goods remains with Queen of Hearts until payment is received in full.
6.4 Queen of Hearts is not liable for any loss or damage arising from delays in delivery caused by circumstances beyond our reasonable control, including but not limited to freight carrier delays, natural disasters, or supply disruptions.
6.5 Freight costs are the responsibility of the Stockist unless otherwise agreed in writing.
7.1 All Queen of Hearts products come with a 12-month warranty from the date of purchase against manufacturing faults and defects.
7.2 To make a warranty claim, the Stockist must contact hello@queenofhearts.com.au with a photo of the faulty goods and proof of purchase.
7.3 Where a valid warranty claim is accepted, Queen of Hearts will replace the faulty product with the same item. Where a replacement is not available, a full refund will be issued.
7.4 The warranty does not cover damage caused by misuse, negligence, normal wear and tear, or failure to follow care instructions.
7.5 Returns are not accepted for change of mind.
7.6 Nothing in these Terms limits or excludes any rights the Stockist may have under the Australian Consumer Law.
8.1 Our products come with guarantees that cannot be excluded under the Australian Consumer Law (Competition and Consumer Act 2010, Schedule 2). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage.
8.2 Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies to which the Stockist may be entitled under the Australian Consumer Law.
9.1 All branding, imagery, product photography, copy, and marketing materials provided by Queen of Hearts remain the intellectual property of Queen of Hearts.
9.2 Stockists are permitted to use Queen of Hearts imagery and branding solely for the purpose of retailing Queen of Hearts products.
9.3 Stockists must not alter, reproduce, or use Queen of Hearts intellectual property for any other purpose without prior written consent.
9.4 Stockists must not represent Queen of Hearts products under any other brand name or misrepresent the origin of the goods.
10.1 To the maximum extent permitted by law, Queen of Hearts’ total liability to a Stockist in connection with these Terms or any order shall not exceed the total amount paid by the Stockist for the relevant goods giving rise to the claim.
10.2 Queen of Hearts is not liable for any indirect, consequential, special, or incidental loss or damage, including but not limited to loss of profits, loss of revenue, or loss of business opportunity.
11.1 Queen of Hearts collects and handles personal information in accordance with its Privacy Policy, available at www.queenofhearts.com.au, and in compliance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.
12.1 These Terms are governed by the laws of New South Wales, Australia.
12.2 Both parties submit to the non-exclusive jurisdiction of the courts of New South Wales for the resolution of any disputes arising under these Terms.
13.1 Queen of Hearts reserves the right to update these Terms at any time. Updated Terms will be published on our website and will apply to all orders placed after the date of publication.
